Terms of Service

These terms are an agreement between you and Cicada Labs ("Cicada", "we", "us") for the use of the platform at cicadalabs.io, its agents, apps and channels (the "Service"). By creating an account, joining a workspace or using the Service you agree to them. If you use the Service on behalf of a company, you confirm you are allowed to bind that company, and "you" means the company as well. Questions: support@cicadalabs.io.

What the Service is

Cicada lets you create AI agents that work inside the tools and channels you connect, carry out tasks you give them, produce documents and pages, make phone calls, and work together as a team of agents inside a workspace. Agents act on your instructions and within the permissions you grant. They are software: they can be wrong, incomplete or late, and you remain responsible for reviewing their work and for the decisions you make with it.

Accounts and workspaces

You need an account to use the Service, and you must be at least 18 years old. Keep your login details to yourself and tell us if you think someone else is using your account. A workspace belongs to the person who created it; that person can invite others, set their roles, remove them and delete the workspace. Members' agents, personal app logins and conversations belong to each member, and leave with them if they are removed. You are responsible for what happens under your account and in workspaces you own, including what the people you invite do there.

What you allow agents to do

When you give an agent an instruction, connect an app, link a phone number or set an autonomy level, you authorise the agent to act on your behalf within those limits: to read and write data in the apps you connected, to send messages, emails and documents, to place calls, to browse websites and fill forms, and to do so unattended where you have allowed that. Messages an agent sends are sent by you. Approval settings, read-only app settings and the activity log exist so you can see and control what agents do; use them. We may pause or refuse an action that we believe is unsafe, unlawful, abusive or outside what you authorised.

Connected apps and third-party services

Connecting an app gives Cicada access to that account within the permissions you approve, so the agent can act there for you. Your use of each app stays subject to that provider's own terms, and you are responsible for having the right to connect it (for example a work account you are allowed to automate). We store the credentials needed to act on your behalf server-side only and delete them when you disconnect the app or leave the workspace. We are not responsible for a provider's availability, changes to its API, or actions a provider takes on your account.

Phone calls, messaging and outreach

Where you let an agent call or message people, you are the caller or sender. You must follow the laws that apply to you and to the people you contact, including consent, do-not-call, anti-spam, recording and disclosure rules. Do not use the Service to send unsolicited bulk messages, to deceive anyone about who is contacting them, or to contact someone who asked you to stop.

Acceptable use

Do not use the Service to break the law, infringe anyone's rights, harass or harm people, collect personal data without a lawful basis, access accounts or systems you are not allowed to, send spam or malware, evade a provider's security or rate limits, or build a competing product by copying the Service. Do not interfere with the Service or try to get around its limits, approvals or billing. We may suspend or end access that breaks these rules.

Your content and data

You own the instructions, files, documents and other content you put into the Service and the output your agents produce from it. You give us the permission we need to store, process and transmit that content to run the Service, which includes sending it to the AI model and infrastructure providers we use to operate it. We do not sell your data, and we do not use your content to train foundation models. How we handle personal data is set out in our Privacy Policy.

AI output

Agents generate text, decisions and actions with AI. Output can be inaccurate, incomplete, out of date or inappropriate for your situation, even when it looks confident. The Service includes checks that hold or remove claims it cannot verify, but no check is complete. You are responsible for checking output before relying on it, especially for legal, financial, medical, employment or safety matters, and for anything an agent sends to other people.

Plans, credits and payment

Usage is measured in credits. The free plan includes a starting balance and a monthly refresh. Credit packs are one-off purchases; plans renew automatically each month or year until cancelled. Credits you buy do not expire while your account exists and are not refundable once bought, except where the law requires a refund. If you switch on auto top-up, you authorise us to charge the card on file for the pack you chose whenever your balance falls below the threshold you set, and you can turn it off at any time. Prices may change; a change to a plan price takes effect at your next renewal after we notify you. Taxes may be added where they apply. If a payment fails or you run out of credits, agents pause until credits are available.

Cancellation and deletion

You can cancel a plan at any time; it stays active until the end of the period you paid for. You can delete agents, workspaces and your account from the Service, and this removes the associated data as described in the Privacy Policy. We may keep records we need for billing, security, dispute handling or legal reasons.

Our rights and changes to the Service

We own the Service, its software, design and content, other than your content. We may change, add or remove features, and we may limit usage to keep the Service working well for everyone. We will try to give notice of changes that materially reduce what you paid for.

Availability and warranties

We work to keep the Service available and secure, but we provide it "as is" and "as available". To the fullest extent the law allows, we make no promises that it will be uninterrupted, error free, or fit for any particular purpose, and we do not warrant the accuracy of AI output or the results of actions agents take. Nothing in these terms limits rights you have under laws that cannot be excluded by agreement, including consumer protection laws where you live.

Limits on liability

To the fullest extent the law allows, Cicada is not liable for indirect, incidental, special or consequential loss, loss of profits, revenue, data or goodwill, or for the consequences of actions an agent took within the permissions you granted. Our total liability for any claim connected to the Service is limited to the amount you paid us in the twelve months before the claim arose, or one hundred US dollars if you paid nothing. These limits do not apply to liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

Indemnity

If you use the Service for business purposes, you agree to cover us for claims, costs and damages that arise from your content, your instructions to agents, your use of connected apps, or your breach of these terms or of the law.

Ending the agreement

You can stop using the Service and delete your account at any time. We may suspend or end your access if you break these terms, do not pay, create risk for us or others, or if we discontinue the Service, in which case we will give reasonable notice where we can and refund any unused prepaid plan period. Sections that by their nature should continue, such as ownership, limits on liability and indemnity, continue after the agreement ends.

Disputes and governing law

If you have a problem, write to us first and we will try to sort it out with you. These terms are governed by the laws of the country in which Cicada Labs is established, and the courts of that country have jurisdiction, except that if you are a consumer you keep the protection of the mandatory laws and courts of the country where you live.

Changes to these terms

We may update these terms as the product evolves. Material changes will be reflected here with a new "last updated" date, and we will notify you in the app or by email where the change affects you. Continuing to use the Service after a change means you accept the updated terms.
